Credito Valtellinese S.p.A. (“Creval“), GGH – Gruppo General Holding S.r.l. (“GGH”) e Generalfinance S.p.A. (“Generalfinance” o anche solo “Generalfinance”) hanno sottoscritto un accordo quadro (“Accordo Quadro”) che prevede – tra altro – l’ingresso di Creval nel capitale sociale di Generalfinance con una quota di minoranza qualificata. Generalfinance è un intermediario finanziario attivo nel settore del finanziamento alle imprese, con un turnover atteso per il 2016 di circa Euro 280 milioni e controllato al 100% da GGH. Generalfinance è una delle poche società italiane indipendenti operanti nel settore del factoring, con una elevata specializzazione maturata in oltre 20 anni di operatività. L’Accordo Quadro disciplina, in particolare, l’ingresso di Creval in Generalfinance mediante (i) l’acquisto da GGH di una quota dell’attuale capitale sociale sottoscritto e versato di GF, per un prezzo complessivo pari ad Euro 2 milioni, e (ii) la sottoscrizione e liberazione, da parte di Creval, di un aumento di capitale sociale di Generalfinance riservato alla Banca, ad un prezzo complessivo di sottoscrizione di Euro 7 milioni, incluso sovrapprezzo. Ad esito dell’operazione, la partecipazione di Creval in Generalfinance si attesterà al 37% circa. L’ingresso di Credito Valtellinese nel capitale sociale di GF, oltre ad essere subordinato all’autorizzazione di Banca d’Italia (ai sensi degli articoli 110 e 19 TUB), rimarrà espressamente condizionato anche all’iscrizione di GF all’Albo Unico degli intermediari finanziari.
“Per Creval l’operazione è coerente con gli obiettivi delineati nell’ambito dell’Action plan 2017- 2018 relativamente all’ottimizzazione e innovazione del modello di servizio. – ha dichiarato il Direttore Generale Mauro Selvetti – Oltre al previsto ritorno sull’investimento, anche per effetto della auspicata quotazione di GF entro il 2020, l’operazione consentirà a Creval, fra l’altro, di supportare l’operatività diretta nel business del factoring, avvalendosi delle competenze tecniche/operative di GF, e rafforzare l’offerta destinata alle PMI, con effetti positivi sul profilo della redditività, in linea con i target del Piano. Prevediamo inoltre sinergie potenzialmente interessanti in ambito operativo e creditizio”.
